Penjelasan Ringkas

1. The name of the company is JOMUVACK POWER SOLUTIONS LIMITED.
2. The registered office shall be situated in the republic of Uganda.
3. The objective for which the company is registered are: -
a) To establish and carry out the business of Electrical, civil and general engineering contractors particularly as machinery installation engineers, automation, upgrade and servicing engineers., General electrical engineers, City/ Municipal street light contractors welding fabricators blisters and furnishers.
b) To construct, erect, maintain, other repairs and work alone or jointly with companies or persons on works of all descriptions including wares, machinery, piers, buildings, mils, water ways, roads, factories, engines and machinery electric works both fixed and movable.
c) To establish, acquire and manage offices trading stations shops and depots in any country in the world and purchase or otherwise acquire or develop and improve any business of real personal property in Uganda or elsewhere.
d) To establish and carry on business as computer and computer accessories vendor and supplier.
e) To carry on business of providing services including, but not limited to installation of electricity in factories, homes, streets and fields. Construction of power lines and general constructions. Building and supplying goods, Technical teaching in all fields, provision of technical software including but not limited to electrical simulation, electrical estimation, electrical calculations, technical drawing, mechanical simulation.
f) To invest in or purchase or otherwise acquire lease hold and free hold lands, houses, buildings and hire business and to hold or sell, let mortgage charge or otherwise deal with all such lands or tenants
g) To deal in packaging industry offering packaging services to other industries, factories and individuals also to carryout repacking as a business
h) To enter into any arrangement with any government or authorities ( supreme, municipal, local or other wise) or any corporation, companies or persons having objectives that may seem contributing to to the companyâ € ™ s objectives, to obtain from any such government any such government authority, corporation, company or person any charters, contracts, decrees, rights, privileges and concessors which the company may think desirable and to carryout exercise and comply with any charters, contracts, decrees, rights, privileges and concessions.
i) To invest and deal with monies of the company not immediately required upon such securities and in such manner as may from time to time be determined.
j) To borrow or raise money in such manner as the company shall think fit and in particular by the issue of debentures, or debenture stock( perpetual) or otherwise, and to ensure the repayment of any money borrowed, raised or owed by mortgage lien or charge upon the whole or any of the companyâ € ™ s assets.
k) To acquire any real and personal property rights or any other privileges or material which may be used or sovereignty combined with the business of the company.
l) To acquire for any estate for interest and take options over, construct and develop property real or personal or rights of any kind which may appear to be necessary or convenient for any business of the company the objects of which include the carrying on of any business or activity within the objects of this company.
m) To enter in any guarantee, contract of indemnity or surety ship and in particular ( without prejudice to the generality of the foregoing) to guarantee the payment of any principal monies, premiums, interest and other payment of dividends and premiums on the repayment of the capital of stock and shares of all kinds and description.
n) To give remuneration or other compensation or reward for services rendered or to be otherwise assisting in the issue or any shares, debentures or other securities of the company or in or about the formation of the company or conduct of its business.
o) To establish or promote, procure or participate in establishing or promoting any company the establishment or promotion of which shall be considered desirable in the interest of the company and to subscribe for, underwrite purchase or otherwise acquire the share, stocks and securities of any such company or of company carrying on or proposing to own any business activity within the objects of the company.
p) To enter into partnership or any other arrangements for sharing profits, union of interest or cooperation in concerns or otherwise with any person or firm( s) or company or cooperation carrying on or engaged in or about to carry on any business or transactions which the company may deem capable of being conveniently carried on in connection with the above or calculated directly or enhance the value of or render profitable any of the companyâ € ™ s property and or whereby the company would benefit.
q) To act as agents or brokers and as trustees for any person, firm or company and undertake and person subcontracts and also to act in any of the business of the company through or by means of agents, brokers by company through others besides to carry on business of general merchants to deal in piece goods textiles, hardware, glassware, cutlery house hold and other furniture, utensils, building materials machinery, groceries, provisions, domestic produce, hides and skins, dead stocks, ivory and other business which may be conveniently carried on in connection therewith.
r) To draw, make, accept, endorse, discount, execute and issue promissory notes, cheques, bills of exchange, bills of lading warrants, debentures and other negotiable or transferable instruments.
s) To take at necessary and proper steps with the authorities, national, local, municipal or otherwise of any place in which the company may have interests and to carry or any negotiations or operations for the purpose of directly or indirectly carrying out objectives of the company or furthering the interests of its members and to oppose any step taken by any modification in the constitution of the company or furthering the interests of its members and to oppose any step taken by any other company or persons which may be considered likely directly or indirectly to prejudice the interests of the company or its members.
t) To amalgamate with any other company having objects altogether or any part similar to those of this company.
u) To give bond or bonds and become bails for or in respect of any persons, firms, corporation for whatever purpose as the company may seem fit.
v) To procure the company to be registered or recognized in any other territory, colony, place and in any foreign country.
w) To do all such other things as may be deemed incidental or conductive to the attainment of the above objects or any of them. And it is hereby declared that the word â € œ COMPANYâ € in this clause shall be deemed to include any partnership or other body or persons whether incorporated or not and whether domiciled in Uganda or else where and intension clause shall, except where otherwise expressly stated in such paragraph, be independent of a main object and shall be in no way limited by any other paragraph.
Last in objectives
To do all such other things as are incidental or conductive to the attainment of the above objectives or any of them. The objectives set forth in any sub clause shall not, except when the context expressly so requires be in any way limited or restricted by reference to or by inference from the terms of any other sub-clause or the objective therein specified any of the powers compared by any part of this clause in any part of the world ad not withstanding that the business undertaking property or act proposed to be transacted acquired, dealt with or performed do not fall with the objectives of the first sub clause of this clause.
